Virginia Registered Agent

What is a Registered Agent?

The State of Virginia requires that all legal entities in Virginia appoint a Registered Agent. Simms Showers has served as Registered Agent for hundreds of clients in Virginia for over 15 years. All entities doing business in Virginia must file a report with the State Corporation Commission on an annual basis. An annual fee is also required. Simms Showers offers the following services in order to ensure that your corporation remains in Good Standing with the state:

  • Accepts and distributes annual reports to the client, offering guidance and recommendations to ensure that the reports are in compliance with state requirements.
  • Keeping our clients up-to-speed with relevant news and legal alerts via our monthly newsletter.
  • Tracking due dates and issuing reminders to ensure that the client remains in Good Standing.
  • Offering one hour free legal advice per year on handling any service of process questions and matters

As your Registered Agent, the submission of your annual renewal is only part of the services we provide to protect your entity and keep it in compliance with legal, corporate, and tax regulations.  We also serve as your “legal insurance” to make certain that any lawsuits or requests from agencies (i.e. IRS, state, or county authorities) are handled in a proper and timely manner, because all  these documents have response deadlines with serious consequences for failure to comply.  We also monitor any legal changes and keep you informed so you can comply and effectively plan for the future of your organization.

Maryland Resident Agent

What is a Resident Agent?

It is required by Maryland Code that all legal entities in Maryland appoint a Resident Agent. As Resident Agent in Maryland for over 15 years, our firm understands how crucial the role of Resident Agent is in ensuring the continued prosperity of the Maryland businesses, churches, and nonprofits that we serve. As such, we strive to offer quality service in the following ways:

  • Handling acceptance of service and processing of Garnishments and other legal notices that require immediate action (this involves accepting the liability for properly handling documents served and having a tracking system documenting all service);
  • Keeping our clients up-to-speed with relevant news and legal alerts via our monthly newsletter.
  • Tracking due dates for your Annual Report and Personal Property Return and issuing reminders.
  • Reviewing the corporation’s standing with the State on an annual basis, and notifying you if you have fallen out of Good Standing and getting you back in Good Standing.
  • Offering one hour free legal advice per year on handling any service of process questions and matters
